immediate escalation to second or third offense penalties,
with all associated fines applied cumulatively.

InsurEasier reserves the right to report such infractions
to your State Department of Insurance or take additional
legal action as necessary.

You are required to report any instances of attempted
circumvention by users or other agents. Failure to report
such incidents may result in fines or termination of your
account.
8. Usage Fees and Payments

Monthly Charges: Agents
are subject to a monthly fee.

Bidding Charges: Upon
agent winning a bid, the pledge is non-refundable.

Additional Policy Charges and Refunds:
Any credit refund is subject to processing fee. Excessive or
fraudulent refunding will have consequences.
9. Data Management and Update Requirements - Update user policy
information within 14 days of the policy issuance, on InsurEasier.com.
10. Site Infractions – We’re
not liable for unauthorized actions by users or agents.
11. Electronic Communications Consent -
You consent to receive communications.
12. Disclaimer of Warranties

1. Definitions

“InsurEasier,” “we,” “us,” and “our”
refer to InsurEasier, LLC, its affiliates, subsidiaries, designated
management, officers, employees, and authorized representatives.

“InsurEasier’s site,” “this site,” or “our site”
refers to all web pages, services, and affiliated platforms provided
under the domain www.insureasier.com
, or any other affiliated websites operated by InsurEasier, LLC,
including sites used for data collection, storage, and agent or user
interactions.

“Agent(s),” “you,” and “your”
refer to any individual, agent, agency, broker, producer, or other
entity that accesses or utilizes the InsurEasier site, especially
within the agent portal, whether authorized or unauthorized.
Unauthorized access will result in immediate termination, fines, and
potential legal action.

“User” refers to any
individual, group, or entity that accesses, references, visits, or
utilizes the InsurEasier site, particularly within the member portal,
including any party storing information or requesting quotes through
the site.

“Member” or “Members”
refer to any user who has registered and gained access to the member
portal of the InsurEasier site.

“Data” encompasses any
information collected, stored, used, or generated through this site,
in any form, whether written, coded, in media, digital, or other
forms, and includes Personal Data.

“Personal Data” refers to
any Data that can directly or indirectly identify you, the agent, or
any user, including but not limited to name, contact information,
financial details, insurance-related information, or other identifying
characteristics.

“Content” includes any
material available on this site, whether created by InsurEasier or its
users, and encompasses but is not limited to text, coding, design,
logos, graphics, Data, media (audio, video, etc.), software, and any
other proprietary or non-proprietary information.

“Carrier” refers to an
insurance company or provider from which quotes and policies may be
issued.

“Quotes Request” means a
request submitted by a member to obtain insurance quotes via
InsurEasier for a specific type of insurance.

“Bid” refers to the act
of an agent selecting a Quotes Request to provide a potential quote,
subject to selection by the site’s algorithm. "Bidding" is the process
of placing such bids to potentially convert the quote into an active
policy.

“Win” or an agent who has
“won” a bid refers to an occurrence where a member has selected that
agent's quote as the preferred option to convert into a policy.

“Pledge Amount” refers to
the amount associated with a Quotes Request that an agent agrees to
pay upon winning a bid, regardless of whether the agent successfully
converts the quote into an active policy.
2. Intellectual Property
All Content on this site is protected by copyright laws. InsurEasier
retains full rights, title, and interest to all content, materials,
design, data, and intellectual property on this site, whether provided
by InsurEasier, its affiliates, or derived from agent or user
interactions. Users, including agents, are not permitted to reproduce,
distribute, modify, or use any Content for commercial purposes without
prior written consent from InsurEasier. InsurEasier reserves the right
to withdraw such permission at any time. Any authorized use of
InsurEasier’s logos or videos must be unedited and presented in a
positive, honest, and non-defamatory manner. You are granted a
limited, non-exclusive, revocable license to use this site for the
purposes of accessing and using its services in accordance with these
Terms. Unauthorized use or reproduction of any content is strictly
prohibited, and legal action and additional fines from InsurEasier may
be taken against violators.
3. Termination
InsurEasier reserves the right to terminate or suspend your account at
its sole discretion, with or without notice, for any reason, including
but not limited to violations of these Terms, inappropriate behavior,
suspected fraudulent activities, or any actions deemed detrimental to
InsurEasier’s interests or reputation. Any termination does not
relieve you of any obligations under this Agreement, including payment
of any outstanding fees or fines.
4. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the State of Texas and
the United States, without regard to any conflict of law principles.
All disputes arising out of or related to this Agreement shall be
resolved exclusively in the state or federal courts located in Texas.
Arbitration may be utilized within 60 days of filing, and any claims
must be filed within one (1) year of the occurrence giving rise to the
dispute. Users, agents, and carriers are expected to comply with the
Health Insurance Portability and Accountability Act (HIPAA) and any
applicable federal or state privacy laws.
5. Third-Party Links
InsurEasier does not share your Personal Data with third parties, except as necessary to provide our
services, such as delivering SMS notifications or facilitating communication. While our website may
contain links to third-party sites, we are not responsible for their content, accuracy, or practices.
Accessing external links is at your own risk.
6. Data Security and Leakage
InsurEasier uses industry-standard safeguards to protect Personal
Data. However, agents are also responsible for ensuring that data
accessed or managed by them is protected in accordance with applicable
laws, including the Gramm-Leach-Bliley Act (GLBA) and the Health
Insurance Portability and Accountability Act (HIPAA). Agents are
strictly prohibited from sharing user data outside of this site unless
authorized. Unauthorized distribution of data may result in fines,
termination, or legal action. Any data breach must be reported
immediately to InsurEasier, and failure to do so may result in fines,
termination, or legal action. In the event of a suspected data breach,
notify us immediately. We will take appropriate action to address the
issue and cooperate with any necessary investigation.
7. Limitations

Agent Privileges: Your
use of this site grants you specific privileges, such as access to
data for quote generation and policy management, but you must adhere
to all policies and procedures outlined by InsurEasier. Misuse or
abuse of these privileges may result in disciplinary actions.

Agent Restrictions:
Agents found engaging in unauthorized practices, such as creating
false accounts, providing misleading information, or attempting to
circumvent InsurEasier's systems, will be subject to fines,
immediate termination, and potential legal action, including but not
limited to, reporting to the appropriate licensing authorities.

False Accounts:
Creating a False Account, defined as registering under a false
identity or providing inaccurate or misleading information about
your identity, is strictly prohibited. InsurEasier utilizes your
Personal Data to verify your identity and insurance licensing.
Any attempt to create a false account will result in fines
starting at $500 per occurrence for the investigation and
removal of such an account. If the false account is used to bid
on or create fraudulent quotes, the fines will be significantly
higher (a minimum of $5,000 ), and legal action, including felony
charges, may be pursued. You may also face reporting to your
State's Department of Insurance.

Misleading Information:
Providing false, incomplete, or misleading information while
using this site is prohibited and may result in fines,
suspension, or termination of your account. Fines for misleading
information will start at $500 per occurrence and increase based
on the severity and impact of the infraction. If you unknowingly
provide incorrect information, you may dispute the charges, but
intentional falsification will be met with strict penalties.

Non-allowed Data:
Agents are prohibited from storing information unrelated to
insurance or beyond what is necessary for providing quotes and
policies. Data that is irrelevant, excessive in storage size, or
contains malware will result in fines starting at $200 (starting
at $10,000 for intentional malware) per occurrence and potential
termination. InsurEasier reserves the right to review and remove
any non-compliant data at any time.

Abuse: Misuse or
unauthorized access to site Content is strictly prohibited and
may result in fines starting at $1,000 per incident, as well as
potential legal action.

Unauthorized Sharing:
You may not share, distribute, or otherwise misuse any Content
from this site, especially user information, except as necessary
for producing quotes or policies in compliance with this
Agreement. Unauthorized sharing of any user or site content will
result in fines determined on a case-by-case basis, starting at
$500 per incident.

Accessing Restricted Content:
Accessing or attempting to access any content, data, or system
for which you do not have authorization is strictly prohibited
and may be illegal. Violators will face fines starting at $500
per occurrence, potential termination, and may be subject to
further legal action.

Excessive Bidding:
Bidding on more Quotes Requests than you can reasonably handle
is prohibited. If it is determined that you are not fulfilling
your obligations (e.g., failing to provide timely or accurate
quotes), you may be fined a minimum of $400 per occurrence.
Excessive bidding disrupts the functionality of the site and
undermines user trust, resulting in diminished business
opportunities for all parties involved.

Deviant Behavior:
Engaging in deviant behavior, such as abusive language,
harassment, trolling, or inappropriate messaging through the
site's communication channels, is strictly forbidden. Fines for
deviant behavior will start at $400 per occurrence, and you may
face suspension or termination.Any behavior that damages the
reputation of InsurEasier or its users will not be tolerated.

Circumventing and Dishonesty:
Circumventing this site to establish direct relationships with
users or engaging in dishonest activities, such as providing
misleading quotes or circumventing the bidding process, will
result in severe penalties. The penalties are as follows:

First Offense:

Option 1:
You may choose to be placed on a 6-month probation while
continuing to be charged the monthly fee (currently
$29.99 but subject to change) plus an additional
$170.06, totaling $350 or more. Suspension of bidding
privileges applies, and failure to maintain payments
will extend your suspension until payment is received.

Option 2:
Pay a $500 or more fine to continue using the site
without probation.

Second Offense: Automatic $1,000 fine per offense or
more and a 12-month non-disputable suspension of your
account.

Third Offense: Immediate, indefinite ban
from the site for a minimum of three (3) years and a $2,000
fine per offense.

Multiple infractions before detection may result in
immediate escalation to second or third offense penalties,
with all associated fines applied cumulatively.

InsurEasier reserves the right to report such infractions
to your State Department of Insurance or take additional
legal action as necessary.

You are required to report any instances of attempted

8. Usage Fees and Payments

are subject to a monthly fee (currently $29.99 but subject to
change) as outlined in your existing document. Failure to maintain
payment will result in your account being frozen, suspended, or
terminated. InsurEasier reserves the right to charge interest on any
overdue payments, in accordance with applicable law.

Bidding Charges:
Bidding charges are non-refundable once an agent wins a bid. Agents
agree to be charged for any policy-related services rendered and
understand that additional charges may apply if other policies are
written for a user.

Additional Policy Charges and Refunds:
Any refund requests will be subject to a review process and will
include a processing fee. Refunds for credit purchases or bid
deposits will be handled at InsurEasier’s sole discretion, and
excessive or fraudulent refund requests may result in fines,
suspension, or termination. Fraudulent use of the credit system will
also result in appropriate legal action.
9. Data Management and Update Requirements
Agents must update user policy information within 14 days of the
policy issuance, as stated in your existing document. Failure to do so
may result in financial penalties and potential suspension of your
bidding privileges. InsurEasier reserves the right to investigate and
impose fines for inaccurate or incomplete data management.
10. Site Infractions
InsurEasier is not liable for any illegal or unauthorized actions
performed by users or agents. We reserve the right to disclose
relevant information to authorities or other third parties to resolve
any violations of this Agreement, Privacy Policy, or applicable law.
11. Electronic Communications Consent
By using this site, you consent to receive communications from us
electronically, whether via email, text message, or site
notifications. You agree that all agreements, notices, disclosures,
and other communications we provide to you electronically satisfy any
legal requirement that such communications be in writing.
12. Disclaimer of Warranties

General Disclaimer: The
services provided on this site are offered "as is" and "as
available," without warranties of any kind, either express or
implied. InsurEasier does not warrant that the website will be
uninterrupted, error-free, or free from viruses or other harmful
components. You acknowledge that use of this site is at your own
risk.

InsurEasier makes no representations or warranties regarding the
accuracy, completeness, or reliability of any user or policy
information obtained through this site. All member information is
provided directly by third-party users.
13. Limitation of Liability
To the fullest extent permitted by applicable law, InsurEasier shall
not be liable for any direct, indirect, incidental, special,
consequential, or punitive damages, including but not limited to loss
of profits, data, use, goodwill, or other intangible losses resulting
from

14. Indemnification
You agree to indemnify, defend, and hold harmless InsurEasier, its

liabilities, damages, losses, or expenses (including reasonable
attorneys’ fees) arising out of or related to your use of the site,
your violation of these Terms of Service, or your infringement of any
intellectual property or other rights of any third party.
15. Confidentiality
All information accessed through InsurEasier, including but not
limited to user data, quotes, policy information, and proprietary
technology, is strictly confidential. You agree not to disclose,
share, or misuse this information for any purpose outside of your role
as an agent on this platform. Any breach of confidentiality will
result in immediate termination, fines, and potential legal action.
16. Force Majeure
InsurEasier shall not be liable for any failure or delay in performing
its obligations under this Agreement if such failure or delay is due
to circumstances beyond its reasonable control, including but not
limited to natural disasters, acts of war, terrorism, labor strikes,
government actions, or internet outages.
17. Severability
If any provision of these Terms of Service is found to be invalid,
illegal, or unenforceable by a court of competent jurisdiction, such
provision shall be modified to the extent necessary to make it
enforceable, and the remaining provisions of this Agreement shall
continue in full force and effect.
18. Assignment
InsurEasier reserves the right to assign or transfer its rights and
obligations under this Agreement to any third party at any time
without notice to you. You may not assign or transfer any rights or
obligations under this Agreement without our prior written consent.
19. Entire Agreement
This Agreement constitutes the entire understanding and agreement
between you and InsurEasier concerning your use of the site and
supersedes all prior agreements, representations, or understandings,
whether written or oral, regarding the subject matter.
20. Privacy Policy Consent
By accessing and using our site, you consent to our Privacy Policy for
Agents. Please review it carefully, as it outlines how your data is
collected, used, and shared.
21. Consent to Terms of Service
By using this site, you agree to be bound by these Terms of Service.
22. Changes to Terms of Service
InsurEasier reserves the right to amend or modify this Terms of
